Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and EdgeCorp, LLC ("SanctionsAnalyzer," "we," "our," or "us") governing your access to and use of the SanctionsAnalyzer platform, including our website, API, and related services (collectively, the "Service").

By registering for an account, clicking "I agree," or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

SanctionsAnalyzer provides sanctions screening tools that allow users to screen names and entities against OFAC (Office of Foreign Assets Control) and other publicly available watchlists. The Service includes:

• Batch name screening via file upload
• Single name/entity search
• API access for programmatic screening
• Compliance report generation

The Service is intended for compliance, due diligence, and informational purposes only. It does not constitute legal advice. Results should be reviewed by qualified compliance personnel.

3. Accounts and Registration

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must promptly notify us of any unauthorized use of your account. We are not liable for losses arising from unauthorized account access resulting from your failure to keep credentials secure.

You may not share your account with others or create accounts on behalf of third parties without our prior written consent. Additional users may be added to your account through the multi-seat options on eligible plans.

4. Subscriptions and Payment

SanctionsAnalyzer offers the following plan types: Free Trial, Name Search, Batch (Starter, Growth, Business, Enterprise), and API plans. Plan details, limits, and pricing are listed on our Pricing page.

• Free Trial: 10 days or 25,000 records, whichever comes first. No credit card required. Automatically expires at the end of the trial period.
• Paid Plans: Billed monthly or annually as selected at checkout. Subscriptions run to the end of the purchased term and do not auto-renew. You may choose to renew at any time before or after expiry.
• Record Limits: Batch plan record limits apply per search (not per month).
• Overages: Enterprise plans include per-record overage billing at published rates.

All payments are processed securely through Stripe. We do not store your full credit card number. Refunds are handled at our discretion; please contact us within 7 days of a charge if you believe an error occurred.

We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful compliance and due diligence purposes. You may not:

• Use the Service for any illegal purpose or in violation of applicable law
• Attempt to reverse-engineer, scrape, or copy the underlying sanctions database
• Resell, sublicense, or redistribute access to the Service without our written consent
• Submit false, misleading, or malicious data to the Service
• Use automated tools to exceed your plan's rate limits or to disrupt the Service
• Use the Service as the sole basis for a legal determination without qualified review

We reserve the right to suspend or terminate accounts that violate these provisions.

6. Your Data

You retain ownership of all data you upload to the Service ("Customer Data"). By using the Service, you grant us a limited license to process your Customer Data solely to provide the Service.

We do not sell your Customer Data to third parties. Screening data is retained for a limited period to allow you to retrieve reports and is then purged. See our Privacy Policy for retention details.

You represent that you have the right to submit all data you provide to the Service and that doing so does not violate any applicable privacy law or third-party rights.

7. Intellectual Property

The Service, including all software, algorithms, trademarks, and content (excluding Customer Data), is owned by EdgeCorp, LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or brand features.

Feedback or suggestions you provide about the Service may be used by us without restriction or compensation to you.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The sanctions data is complete, current, or error-free at all times
• The Service will be uninterrupted, secure, or free from errors
• Results will satisfy your specific compliance requirements

Screening results should always be reviewed by a qualified compliance officer. SanctionsAnalyzer is a tool to assist compliance professionals, not a substitute for legal or compliance expertise.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGECORP, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

10. Termination

Subscriptions run to the end of the purchased term and do not auto-renew. Access continues until the term expires. You may choose to renew at any time. No refunds are issued for unused time within an active term.

We may suspend or terminate your access immediately if you violate these Terms, fail to pay amounts owed, or if we are required to do so by law. Upon termination, your right to use the Service ceases and we may delete your account data in accordance with our retention policy.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.
